Late payments may be subject to interest charges and may result in suspension or termination of services. We reserve the right to charge a late fee of up to 2% per month on overdue amounts.
All fees are exclusive of applicable taxes. You are responsible for payment of all taxes, including but not limited to GST, service tax, and any other government-imposed charges.
We provide domain registration services on behalf of our clients. You acknowledge that domain names are registered subject to the rules and regulations of the respective domain registrars and registries.
If you wish to transfer your domain name(s) to another registrar or service provider, the following conditions must be met:
We reserve the right to charge an administrative fee for processing domain transfers. This fee will be communicated to you at the time of your transfer request.
While we register and manage domains on your behalf, you acknowledge that you are the beneficial owner of the domain. However, we retain the right to hold the domain until all financial obligations are fulfilled.

You agree not to use our services for any illegal or unauthorized purposes, including but not limited to:
All content, materials, software, source code, designs, frameworks, tools, documentation, and technology developed or provided by Metax Empire Pvt. Ltd. shall remain our exclusive intellectual property unless otherwise expressly agreed in writing.
You may not copy, modify, distribute, sell, sublicense, or create derivative works from such materials without our prior written consent.
You retain ownership of all content, data, trademarks, logos, text, images, and materials provided by you to Metax Empire Pvt. Ltd. (“Client Content”).
By using our services, you grant us a limited, non-exclusive, and revocable license to use, store, process, and display such Client Content solely for the purpose of providing the agreed services.
All intellectual property rights related to custom-developed work, including but not limited to websites, software applications, designs, source code, documentation, databases, and digital assets created specifically for you, shall be transferred to you only after full and final payment of all outstanding dues.
Until all payments are cleared in full, Metax Empire Pvt. Ltd. shall retain ownership and control over such deliverables and reserves the right to withhold access to source code, credentials, files, deployments, or related assets.
In the event of non-payment, delayed payment, or dispute regarding outstanding dues, Metax Empire Pvt. Ltd. reserves the right to suspend services and restrict access to any materials, deliverables, or intellectual property associated with the project until all financial obligations are fulfilled.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the service relationship. This obligation shall survive the termination of services.
To the maximum extent permitted by law, Metax Empire Pvt. Ltd. shall not be liable for:
You agree to indemnify, defend, and hold harmless Metax Empire Pvt. Ltd., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
You may terminate your use of our services by providing a minimum of fifteen (15) days prior written notice to Metax Empire Pvt. Ltd. via email or other official communication channels.
During the notice period, you are required to clear all outstanding dues, including but not limited to service fees, hosting charges, domain-related costs, development charges, and any other applicable payments.
Termination shall be effective only after the completion of the notice period and full settlement of all outstanding amounts. Failure to clear dues within the notice period may result in continued suspension of services and withholding of assets such as domains, data, or deliverables until full payment is received.
We reserve the right to suspend or terminate your access to our services at any time for violation of these Terms, non-payment, or any other reason at our sole discretion. We will provide reasonable notice where possible.
Upon termination, you must pay all outstanding fees. We may delete your data and content after termination unless required by law to retain it. It is your responsibility to backup your data before termination.
While we implement reasonable security measures and regular backups, you are responsible for maintaining your own backups of critical data. We are not liable for data loss or corruption regardless of cause.
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our website. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
In the event of any dispute arising from or relating to these Terms or our services, both parties agree to first attempt resolution through good faith negotiations. If negotiations fail, the dispute may be escalated to mediation before pursuing legal action.
These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes, claims, or legal matters arising from or related to these Terms or the use of our services shall be subject to the exclusive jurisdiction of the courts in Bhuj, Kutch, Gujarat, India. Both parties hereby consent to the personal jurisdiction of such courts and waive any objection to venue in these courts.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Metax Empire Pvt. Ltd. regarding the use of our services and supersede all prior agreements and understandings.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Metax Empire Pvt. Ltd.
You may not assign or transfer these Terms or your rights and obligations hereunder without our prior written consent. We may assign these Terms without restriction.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
